Program Terms

1. Scope & purpose
These terms govern participation in Klarnode GmbH's referral program. Referrers recommend Klarnode to potential clients and, on success, receive a one-time reward. Brokering or advice is not part of the program.
2. Participation & registration
Individuals and legal entities may participate. Participation requires registration and approval by Klarnode. There is no entitlement to approval.
3. Qualified lead
A qualified lead is a company unknown to Klarnode so far, with a reachable decision-maker, genuine project interest and the contact's demonstrable consent to share their data.
4. Protection period
A lead is attributed to the referrer for 12 months from submission. If the lead was already in our contacts or pipeline, no protection applies; novelty is confirmed on submission.
5. Reward & payout
The reward is up to 10 % of the first project value as a one-time success reward. It becomes due only once the client signs and the first payment is received by Klarnode.
Payout depends on tax status: with a business or as a small business, against a valid invoice; without a business, as a voucher or a donation to a charity. Cash payout only against a valid invoice. Taxes and levies are borne by the referrer.
6. Pure referral
The referrer only passes on the contact and does not act as a representative, broker or advisor of Klarnode. Negotiation, proposal and contract rest solely with Klarnode.
7. Term, termination & changes
Participation can be ended at any time. Klarnode may change or discontinue the program and these terms for the future; reward claims already accrued remain unaffected.
8. Liability
Klarnode is liable under statutory provisions; for slight negligence only on breach of material contractual obligations (cardinal obligations) and limited to foreseeable, contract-typical damage. Liability for intent, gross negligence and damages arising from injury to life, body or health remains unaffected.
9. Data protection
Personal data is processed per the referral program privacy notice (see "Privacy Notice" tab) and the general privacy policy. Contacts may only be shared with their express consent.
10. Final provisions
German law applies. Exclusive jurisdiction is — where permitted — Berlin. Should individual provisions be invalid, the rest remains effective; the invalid provision shall be replaced by a valid one that most closely reflects the economic purpose.
